These terms and conditions (the “Terms and Conditions of Use”) are the terms and conditions upon which Chelsea Vale Independent Leasing Limited (“Chelsea Vale/we/us/our”) make this website service “Cyan Base:” available to the Registered User (“you/your”).

You shall only use our Cyan Base: for the purposes of quoting and introducing prospective customers to Chelsea Vale and not otherwise.

You hereby confirm to be a legitimate employee of the organisation registered with Chelsea Vale that your login and password has been issued to and will use the data accessed in accordance with the Data Protection Act 1998. You acknowledge that Cyan Base: access levels will be determined by Chelsea Vale from time to time.

You also acknowledge that under no circumstances must information from our Cyan Base: be passed to any unconnected third party.

Your login and password have been provided to you in confidence and you must take all necessary steps to ensure that they are kept confidential, used properly and not disclosed to unauthorised people. If we believe that there has been or is likely to be a breach of security on the use of your login and password we reserve the right to change your password and notify you accordingly.

If you have any reason to believe that anyone is making unauthorised use of your login and password you must tell us immediately by telephoning 0800 389 33 46.

You agree that Cyan Base: will be accessible via Chelsea Vale’s website, and that Chelsea Vale may send to you via electronic media any data and information relating thereto, and that Chelsea Vale hereby excludes all liability to the full extent allowed in law arising from any corruption or loss of any such data or information, and/or arising from any unintended third party recipient receiving or accessing any such data or information by whatsoever means or for whatsoever reason; and/or arising from any such third party taking any action on the basis of any such data or information.

You agree to indemnify and keep Chelsea Vale indemnified on demand from and against all costs, claims, damages, losses and expenses whatsoever suffered or incurred by us as a result of any failure by you to comply with any of your obligations set out in our terms and conditions.

We will use our reasonable endeavours to provide a trouble free service however this cannot be guaranteed. We do not accept any liability or responsibility for any faults, interruptions or errors that may occur in our services or access to them or for any costs, expenses or loss, (including loss of profits, contracts or any consequential loss) which may arise from your access or use of or inability to access or use any part of our Cyan Base:

We reserve the right to terminate, withdraw, restrict, vary, extend or re-introduce any or all of the Cyan Base: and update, alter, suspend or discontinue any aspect of our Cyan Base: including your access to it, without notice at any time and for any reason.

Copyright in all materials, and data provided by us or accessed through Cyan Base: (apart from data supplied by you) including online forms and tables is vested in Chelsea Vale. Any other document provided by Chelsea Vale may not be reproduced in whole or in part without our prior written consent.

11.

Rights in the software accessed by you through Cyan Base: or provided for installation on local devices including any enhancements are owned by Chelsea Vale. You are granted limited non-transferable licence to use that software only for the purposes authorised by our terms and conditions.

You should notify Chelsea Vale as soon as possible of any fault or problem you are experiencing with the Cyan Base: by telephoning 0800 389 33 46.

13.

All other Chelsea Vale terms and conditions of business remain in full force and effect.

14.

Chelsea Vale terms and conditions shall be governed by and construed in accordance with English law.
